Payment Terms
PLEASE READ THESE TERMS CAREFULLY These iChiba Payment Terms (the "Payment Terms") are made between IChiba Global Pte. Ltd. ("IChiba", “ IChiba Global ”, "we" or "us") and you or your Organization ("you"), and set forth the terms that govern your purchases of IChiba products and/or services. These Payment Terms shall form part of the IChiba Terms and conditions, and supplements other terms and policies governing access to or use of iChiba products and/or services, including the iChiba Customer Agreement and Privacy policy. Unless otherwise provided herein, capitalized terms used in these Payment Terms shall have the same meaning as those defined in the iChiba Customer Agreement.
1. Currency
The prices listed on the iChiba website/platform are in United States Dollars. We accept payment in United States Dollars. The calculation of the payment amount shall be reasonably set by iChiba with reference to the exchange rate provided to iChiba by iChiba's cooperating bank(s) or institution(s) in the following manner:
1.1 for Pre-payment (as described in Clause 2.1 below), on the day on which the order is confirmed; and
1.2 for Post-payment (as described in Clause 2.2 below), when (i) the service consumption reaches the billing threshold set by iChiba, (ii) on the day payment becomes due as set out in the Order Form, and/or (iii) on the second day of next calendar month.
2. Payment Options
You may select either of the two (2) payment options accepted by iChiba Global: (i) Pre-payment or (ii) Post-payment, depending on the specific product and/or service purchased and/or subscribed to.
2.1 Pre-payment
2.1.1 This payment option charges you based on your subscription period or usage package for the products and/or services you have purchased.
2.1.2 Under this payment option, you will be charged once your Order Form is confirmed by iChiba. Thereafter, you will be provided iChiba Global products and/or services under the terms of your Order Form, and an invoice will be issued to you.
2.1.3 According to any applicable terms or document referenced or incorporated herein, your usage of the product and/or service during the period covered by the pre-payment will be subject to the prescribed limit(s) as set forth in the Order Form.
2.1.4 If you select this payment option, you authorize us to charge, through a Payments Processor (as defined below), your selected payment method after you place an Order Form for purchasing iChiba prepaid products and/or services.
2.1.5 No refunds are available for any prepaid products and/or services, save for where Clause 4.2 below applied.
2.2 Post-payment
2.2.1 This payment option charges you based on which and how much of iChiba products and/or services you have used.
2.2.2 Under this payment option, you will be supplied iChiba products and/or services upon the submission of an Order Form. Your selected payment method will thereafter be charged, through a Payments Processor (as defined below), automatically on a recurring basis, or on the second day of next calendar month.
2.2.3 If you select this payment option, pre-authorization may be requested from the issuer of your selected payment method by a Payments Processor (as defined below). If the preauthorization is unsuccessful, your relevant payment method may be rejected, and/or you may be requested to provide us (and/or your payment method issuer or a Payments Processor (as defined below)) such additional information as may be requested, including for risk control purposes. If the pre-authorization is successful, your payment method issuer will be requested to release the amount on hold for the pre-authorization after approximately thirty (30) calendar days.
2.2.4 If you select this payment option, you authorize us to charge, through a Payments Processor (as defined below), your selected payment method upon:
I. consumption of iChiba Global products and/or services reaching a certain threshold; and/or
II. automatically on a recurring basis at the frequency as set out in the Order Form; and/or
III. on the second day of next calendar month,
2.2.5 The data and records of your product and/or service usage are logged by our system and are the final conclusive evidence for calculating the fees payable for your use of iChiba products and/or services. To stop incurring fees for your use of iChiba products and/or services, you may log into your account and shut down the products and/or services and release all your instances.
2.2.6 You may request for your most recent invoices by submitting a ticket on the basis of the actual products and/or services you have used. Invoices issued to you will provide an account of your use of iChiba products and/or services.
2.2.7 Unless otherwise stated in any specific product terms, you may cancel your plan any time by logging in to your account and stopping all the products and/or services. Notwithstanding the above, we also have the right to raise invoices at higher frequencies with prior written notice to you, or if we suspect, in our sole and absolute discretion, that your account is fraudulent or at risk of non-payment.
2.3 The availability of the two (2) payment options (as described above) is subject to the specific product and/or service purchased and/or subscribed to.
2.4 All amounts payable by you shall be made without any set-off or counterclaim, and without any deduction or withholding.
3. Payment Method
3.1 You are required to select or add a payment method (i.e. credit card or debit card) at the time of signing up for your account or otherwise before placing an order for iChiba products and/or services.
3.2 We accept payment by credit card or debit card, which will be processed by a Payments Processor (as defined below). Each account may have multiple payment methods registered at the same time, but you must select one default payment method to be used for Post-payment (as described in Clause 2.2 above). For example, if you have set a credit card as your default payment method, your hourly/daily/monthly fees will be deducted from your default payment method and you can only request for iChiba Global products and/or services when your default payment method is valid. 4. Refund Policy
4.1 Unless otherwise provided by law, all purchases are final and non-refundable. If any of the instances cannot be provided to you within 24 hours, we will refund you the payment within 3 working days and in the same currency the fees were paid.
4.2 If you believe that iChiba Global has charged you in error, you must contact us within ninety (90) calendar days of such charge. No refunds will be given for any charges more than ninety (90) calendar days of such charge, unless otherwise required by law. Refunds (if any) are at iChiba Global's sole and absolute discretion. Nothing in these Payment Terms obligates iChiba Global to extend credit to any party.
5. Late Payment and Payment Failure
5.1 If payment is overdue for more than twenty-four (24) hours, we may suspend or terminate your use of iChiba products and/or services, without our incurring any liability whatsoever to you.
5.2 Where you have selected the Post-payment option (as described in Clause 2.2 above), in the event we are not able to process your payment, for reasons attributed to you or your registered payment method, we will notify you by email at your registered email address and request that you resolve the problem. In such a situation, you will be able to continue to use the iChiba products and/or services for another twenty-four (24) hours. If the issue has not been resolved and payment has not been made after this 24-hour period, iChiba shall have the right to suspend any product and/or service until payment has been processed or to terminate any product and/or service without any liability to you. Prior to any suspension or termination of iChiba products and/or services, we will notify you by email at your registered email address.
5.3 iChiba shall have the right to release all your instances without any liability to you seven (7) calendar days after the date of termination of your use of iChiba products and/or services.
5.4 We may elect to charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments from and including the date such payment becomes due and payable up to and including the date of actual payment.
5.5 This Clause 5 is subject to the Clause 12 (Suspension) and Clause 13 (Termination) of the Customer Agreement.
6. No Payment Services / Appointment of Payments Processor
6.1 You acknowledge that we do not provide any payment services to you, including without limitation: (i) issuance of or services relating to the operation of any payment accounts, e-money or e-wallets, (ii) money transfer services, (iii) verification, authorization or authentication of payment methods, payments and/or transactions, and (iv) receipt, holding or transferring of any funds for or on behalf of you (collectively "Payment Services"), under any circumstances.
6.2 You agree that we shall have the full discretion to appoint one or more third party payments processors (each, a "Payments Processor") to collect and process payments for us. The Payments Processor shall collect and process payments on behalf of iChiba Global only.
6.3 You agree and acknowledge that:
6.3.1 in order for the Payments Processor to process payments for us, we will disclose details relating to the iChiba products and/or services that are or will be provided to you, as well as your payment method(s) (e.g. credit/debit card number), to the Payments Processor; and
6.3.2 the Payments Processor does not provide nor offer to provide you any Payment Services, and we do not offer you any Payment Services provided by the Payments Processor, whether on the Payments Processor's behalf or otherwise.
7. Tax
7.1 All fees and amounts payable by you to us (collectively, "Fees", for the purposes of this Clause 7) are exclusive of any Taxes.
7.2 You agree to notify us in a timely manner of any Taxes applicable to you with respect to any Fees paid by you hereunder and to provide us with any supporting documentation and information, including your registration number for such Taxes. If you are legally entitled to any exemption from Taxes, you agree to provide us with any required current tax exemption documentation for each applicable tax jurisdiction. We shall apply the tax exemption certificate(s) to Fees under your account occurring after the date we receive the tax exemption certificate(s). If, during the course of an audit by a taxing authority of our transactions with you hereunder, an exemption certificate you have provided is challenged or otherwise found to be as invalid, resulting in an assessment of any Taxes on us, you agree to reimburse us for all resulting Taxes, interest and/or penalties.
7.3 If any deduction or withholding is required on any Fees paid by you to us, you agree to pay us any additional amount necessary to ensure that the net amount we receive, after any deduction and withholding, equals the amount we would have received if no deduction or withholding had been required. In addition, you agree to provide us with supporting documentation, within thirty (30) calendar days of payment, that any such deduction or withholding has been timely and properly remitted or accounted for to the relevant tax authorities.
7.4 This Clause 7 is subject to Clause 9.4 (Tax and Gross Up) of the Customer Agreement.
8. Use of Payment Information
8.1 The collection, use and/or disclosure of your personal data in connection with your access and use of IChiba Global products and/or services, your purchases of IChiba products and/or services, and the processing of payment and/or transactions between you and iChiba is subject to IChiba'sPrivacy policy.
